CosyChats Terms and Conditions

1. About CosyChats
1.1 CosyChats is an online platform operated by Out of Darkness Comes Light Limited (“CosyChats”, “we”, “us”, “our”).
1.2 CosyChats is an introduction service that connects adults aged 18 and over with other parents for one-to-one conversations based on shared personal experience.
1.3 CosyChats does not provide healthcare, therapy, counselling, coaching, regulated support services, childcare, or any other professional or clinical service.
1.4 Conversations arranged through CosyChats are informal, peer-to-peer conversations between independent individuals.
1.5 By using CosyChats, you agree to these Terms and Conditions. If you do not agree, you must not use the platform.
2. Eligibility
2.1 You must be 18 years or older to use CosyChats.
2.2 By using CosyChats, you confirm that:
🌿you are at least 18 years old; and
🌿the information you provide is accurate and truthful.
2.3 We may suspend or close an account if we reasonably believe:
the user is under 18; or
false or misleading information has been provided.
3. Nature of the Platform
3.1 CosyChats connects people for conversations based on shared experience.
3.2 Parents on CosyChats are not presented as professionals and do not provide advice, guidance, treatment, or services.
3.3 Conversations on CosyChats are based on personal experience only and must not be relied upon as advice, instruction, diagnosis, treatment, or professional support of any kind.
3.4 CosyChats does not control, direct, monitor, or have access to the content of private conversations between users.
3.5 CosyChats acts solely as an intermediary platform facilitating introductions and bookings between independent users. CosyChats does not provide, supervise, or participate in conversations.
4. What CosyChats Is Not
4.1 CosyChats is not:
🌿a medical service;
🌿a mental health service;
🌿a therapy or counselling platform;
🌿a coaching platform;
🌿a crisis or emergency service;
🌿a safeguarding authority;
🌿a childcare or regulated education provider.
4.2 If you need urgent, professional, clinical, or specialist support, you should contact appropriate services such as your GP, NHS services, or emergency services.
5. Suitability of the Service
5.1 CosyChats is intended for adults who wish to take part in peer-to-peer conversations based on shared experience.
5.2 CosyChats is not suitable for:
🌿children or minors;
🌿individuals who may be vulnerable or require additional safeguarding;
🌿individuals in crisis;
🌿 individuals seeking professional, clinical, therapeutic, or crisis support
5.3 While we set clear boundaries for the use of the platform, we cannot prevent all individuals from accessing the service.
5.4 Individuals should carefully consider whether CosyChats is appropriate for their circumstances.
5.5 Parents using CosyChats are not trained professionals and are not expected to identify, assess, or manage vulnerability in others.
6. Private Conversations and Contact Details
6.1 Conversations arranged through CosyChats take place privately between individuals.
6.2 To arrange a conversation, users may choose to share contact details with each other, such as an email address or telephone number.
6.3 Users are responsible for deciding what information they share and should avoid sharing unnecessary personal, sensitive, or financial information.
6.4 CosyChats does not monitor or control communications that take place privately between users.
6.5 Users should not assume that any communication outside the platform is supervised, protected, or managed by CosyChats.
6.6 CosyChats does not record, store, or retain the content of private conversations between users.
7. Conversations Outside Booked Time
7.1 CosyChats is designed around arranged, one-to-one conversations booked through the platform.
7.2 Ongoing or direct contact outside booked conversations is not part of the CosyChats platform.
7.3 CosyChats does not facilitate, monitor, or take responsibility for communication that occurs outside arranged bookings.
8. Serious Concerns
8.1 If something serious is seen or shared during a conversation, such as a risk of harm to a child or adult, users should contact appropriate external services without delay, including emergency services or local authorities where necessary.
8.2 Users are not expected to assess or manage safeguarding concerns and should not investigate or attempt to resolve such situations themselves.
8.3 Users may choose to end a conversation at any time if something feels concerning.
8.4 Users may also inform CosyChats so that we can take appropriate action on the platform, such as reviewing or restricting accounts.
8.5 CosyChats does not investigate or manage safeguarding cases.
8.6 CosyChats may keep a simple record of serious concerns reported to us, including the date, nature of the concern, and action taken, for safety and compliance purposes.
9. User Accounts
9.1 To use CosyChats, you must create an account and provide accurate, complete, and up-to-date information.
9.2 Each user may hold only one personal account unless we agree otherwise in writing.
9.3 You are responsible for maintaining the confidentiality of your login credentials.
9.4 You must notify us promptly if you believe your account has been accessed without permission.
9.5 We may suspend, restrict, or close an account where:
🌿these Terms are breached;
🌿inaccurate or misleading information has been provided;
🌿we are unable to verify identity where required;
🌿platform rules or safety expectations are breached.
10. Identity Checks and Verification
10.1 We may carry out identity checks where appropriate.
10.2 We may request documentation or further information to verify identity.
10.3 We may use third-party verification providers to support identity and fraud checks.
10.4 We do not independently verify the personal experiences described by users.
10.5 Personal experiences shared on CosyChats remain the responsibility of the individual describing them.
11. Profiles and Profile Content
11.1 Users are responsible for the accuracy of all profile content they publish on CosyChats.
11.2 Profile content must:
🌿be accurate;
🌿be honest;
🌿be up to date;
🌿not be misleading.
11.3 Users must not:
present themselves as professionals, experts, or practitioners unless separately approved in writing by CosyChats;
imply that they are providing advice, coaching, therapy, counselling, or regulated services;
exaggerate or misrepresent their lived experience;
make guarantees or promises about outcomes.
11.4 Profile content must reflect personal experience only.
11.5 CosyChats may review, edit, request changes to, suspend, or remove profile content that we consider misleading, inappropriate, or inconsistent with the platform model.
12. Content and Promotional Rights
12.1 By uploading content to CosyChats, including text, images, audio, or video, you grant CosyChats a non-exclusive, worldwide, royalty-free licence to use, reproduce, edit, publish, and display that content for the purposes of operating and promoting the platform.
12.2 You confirm that you have the right to provide that content and that it does not infringe the rights of any third party.
12.3 We may edit or adapt content for formatting, moderation, or promotional purposes.
13. Booking and Payment Terms
13.1 All bookings and payments must be made through the CosyChats platform unless we expressly agree otherwise in writing.
13.2 Payment is required in advance to secure a booking.
13.3 Payments are processed by third-party payment providers. CosyChats does not store full payment card details.
13.4 Funds may be held by the platform pending completion of the booked conversation and any applicable review period.
13.5 Refunds and disputes are governed by our Refund Policy and Resolution Policy.
13.6 By making a booking, you agree that CosyChats is facilitating the arrangement and payment process for a private conversation between independent individuals.
14. Feedback and Reviews
14.1 Users may leave ratings or feedback following a booked conversation.
14.2 Feedback must be honest, respectful, and based on the user’s own experience.
14.3 Users must not:
🌿falsify feedback;
🌿manipulate ratings;
🌿threaten negative feedback;
🌿offer incentives in exchange for reviews.
14.4 CosyChats may review and remove feedback that is abusive, defamatory, misleading, offensive, or includes personal information.
15. User Conduct
15.1 Users must use CosyChats respectfully and lawfully.
15.2 Users must not:
🌿harass, bully, threaten, or abuse others;
🌿share explicit, harmful, or illegal content;
🌿encourage self-harm or harmful actions;
🌿discriminate against others;
🌿record conversations without consent;
🌿use the platform for unlawful, exploitative, or harmful purposes;
🌿misrepresent their identity, age, or experience;
🌿promote unrelated services, products, or schemes;
🌿attempt to manipulate or pressure other users.
15.3 CosyChats may suspend or remove users who breach these rules.
16. Independent Status of Parents on CosyChats
16.1 Parents on CosyChats act independently and are not employees, workers, agents, or representatives of CosyChats.
16.2 CosyChats does not employ parents who take part in conversations on the platform.
16.3 Parents are responsible for:
🌿setting their own availability;
🌿managing their own tax affairs;
🌿providing their own equipment;
🌿their own legal and financial responsibilities.
16.4 Nothing in these Terms creates an employment relationship, partnership, agency, or joint venture.
17. Fees Charged to Parents on the Platform
17.1 CosyChats may charge platform or service fees to parents using the platform as set out separately on the platform or in onboarding materials.
17.2 Such fees may be calculated by reference to monthly earnings or other transparent methods notified to the parent.
17.3 Users will be given details of applicable fees and deductions.
18. Exclusivity and Off-Platform Payments
18.1 To protect the integrity of the platform, bookings and payments introduced through CosyChats must remain on the platform during any exclusivity period stated in platform policies or onboarding terms.
18.2 Users must not solicit, offer, or accept payment outside the platform where this is prohibited by the applicable platform terms.
18.3 CosyChats may take account action where users attempt to bypass platform booking and payment processes.
19. Data Protection and Privacy
19.1 CosyChats will process personal data in accordance with applicable data protection law, including the UK GDPR and the Data Protection Act 2018.
19.2 Our Privacy Policy explains how we collect, use, store, and protect personal data.
19.3 Users remain responsible for the personal information they choose to share directly with each other.
19.4 Users must not misuse personal data obtained through the platform.
19.5 Users must not:
🌿 record, store, or retain personal data obtained through conversations;
🌿 take screenshots, notes, or copies of discussions;
🌿 process or use personal data outside the purpose of the conversation.
19.6 CosyChats does not have access to, monitor, or store the content of private conversations between users, and users are solely responsible for their own handling of any personal data shared during such interactions.
20. Inactive Accounts
20.1 We may suspend, restrict, or remove inactive accounts where a user has not logged in, responded, or remained active for a prolonged period.
20.2 We may contact users before taking such action, but are not required to do so in every case.
21. No Guarantee of Outcomes
21.1 CosyChats makes no guarantees about outcomes, results, changes, or benefits arising from any conversation.
21.2 Every conversation is different and depends on the individuals involved.
22. Limitation of Liability
22.1 CosyChats acts as a platform and introduction service only.
22.2 To the fullest extent permitted by law, CosyChats is not responsible for:
🌿the content of conversations between users;
🌿any opinions, information, or experiences shared by users;
🌿the actions, omissions, conduct, or behaviour of users;
🌿communications that take place outside the platform;
🌿the use of third-party communication tools;
🌿indirect, special, or consequential loss.
22.3 Users engage with each other at their own discretion and risk.
22.4 Nothing in these Terms excludes or limits liability where it cannot be excluded or limited by law.
22.5 By using CosyChats, users acknowledge that they engage in conversations at their own discretion and accept full responsibility for how they interpret and act upon any information shared.
23. Suspension and Termination
23.1 We may suspend, restrict, or terminate access to CosyChats where:
🌿these Terms are breached;
🌿we believe a user poses a risk to others or the platform;
🌿we are required to do so by law;
🌿account information cannot be verified where required.
23.2 A user may stop using CosyChats at any time.
24. Changes to the Platform and Terms
24.1 We may update or amend these Terms from time to time.
24.2 Updated Terms will be published on the platform with a revised effective date.
24.3 Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.
25. Governing Law and Jurisdiction
25.1 These Terms and any dispute or claim arising out of or in connection with them shall be governed by the laws of England and Wales.
25.2 The courts of England and Wales shall have exclusive jurisdiction over any dispute or claim arising from these Terms or the use of CosyChats.
26. General Provisions
26.1 If any part of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in force.
26.2 No person who is not a party to these Terms has any right to enforce them under the Contracts (Rights of Third Parties) Act 1999.
26.3 We are not liable for failure or delay caused by events outside our reasonable control, including technical failures of third-party tools or internet services.
